Terms of Service

1. Agreement to Terms

By accessing or using the WorkOrderly application and website (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.  

2. Use of the Service

Subject to these Terms, WorkOrderly grants you a non-exclusive, non-transferable, revocable license to access and use the Service as a Software-as-a-Service (SaaS) offering for your internal business purposes. You acknowledge and agree that no code or underlying technology of the Service will ever be shared or transferred to you, and the Service will always be hosted on WorkOrderly’s servers. You are granted access to the functionalities of the Service through our interface. You agree not to:

  • Use the Service for any illegal or unauthorized purpose.
  • Attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Service.  
  • Use any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission.  
  • Transmit any viruses, worms, or other malicious code.
  • Attempt to decompile, reverse engineer, or otherwise discover the source code of the Service.

3. User Accounts

You may be required to create an account to access certain features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account and to update it as necessary.  

4. Fees and Payments

The Service is offered under various subscription plans as outlined on our pricing page at https://workorderly.net/pricing. You agree to pay all applicable fees and charges in accordance with your chosen plan and our payment terms.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of WorkOrderly and its licensors. The Service is protected by copyright, trademark, and other laws. You may not use our trademarks, logos, or other proprietary graphics without our express written consent.  

6. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease.  

7. Disclaimer of Warranty

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.  

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WORKORDERLY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE.  

YOU FURTHER ACKNOWLEDGE AND AGREE THAT WORKORDERLY SHALL NOT BE RESPONSIBLE OR LIABLE FOR ANY LOSS OF DATA, REGARDLESS OF THE CAUSE, INCLUDING BUT NOT LIMITED TO DATA LOSS RESULTING FROM:

  • USER ACTIVITY: INCLUDING BUT NOT LIMITED TO ACCIDENTAL DELETION, MISCONFIGURATION, OR ERRONEOUS DATA INPUT BY YOU OR YOUR USERS.
  • MALICIOUS ACTIVITY: INCLUDING BUT NOT LIMITED TO HACKING ATTEMPTS, VIRUS INFECTIONS, OR OTHER UNAUTHORIZED ACCESS TO YOUR ACCOUNT OR DATA BY THIRD PARTIES.
  • SECURITY BREACHES: EVEN IF SUCH BREACHES OCCUR ON WORKORDERLY’S SYSTEMS, YOU UNDERSTAND THAT NO SYSTEM IS COMPLETELY SECURE, AND WE CANNOT GUARANTEE THE ABSOLUTE SECURITY OF YOUR DATA.

YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR DATA AND IMPLEMENTING APPROPRIATE SECURITY MEASURES TO PROTECT YOUR INFORMATION.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions.  

10. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice on this page prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.  

11. Service Availability and Limitations

WorkOrderly strives to maintain a high level of uptime for the Service and will use commercially reasonable efforts to ensure availability. However, you acknowledge and agree that we are not responsible for any outages, service interruptions, or performance issues caused by:

  • Our hosting provider’s infrastructure or services.
  • Distributed Denial-of-Service (DDoS) attacks or other malicious attacks.
  • Internet service provider (ISP) failures or issues.
  • Scheduled maintenance periods (we will provide reasonable notice where possible).
  • Events of force majeure, including but not limited to acts of God, natural disasters, war, civil unrest, or other events beyond our reasonable control.

While we aim for consistent uptime, we do not guarantee uninterrupted or error-free access to the Service. We shall not be liable for any loss or damages arising from any unavailability of the Service.

12. Unmetered Bandwidth

The plan includes unmetered bandwidth, meaning data transfer is not explicitly capped. This allows for typical usage scenarios associated with small business websites without incurring additional charges.

However, all accounts must adhere strictly to our Terms of Service. Resource-intensive behavior—specifically, sustained usage of 25% or more of server resources for periods exceeding 90 seconds—is not permitted.

What occurs if resource thresholds are exceeded?

If your account is flagged for excessive bandwidth consumption or abnormal resource usage, you will receive a notification requesting that usage be reduced to acceptable levels.

These limits are rarely encountered under normal operation.

13. Data Storage Overages

Each WorkOrderly subscription plan includes a specified amount of data storage, as outlined on our pricing page at https://workorderly.net/pricing.

If our monitoring indicates that your data storage is exceeding the allocated amount for your current plan, we will make reasonable efforts to contact you via the email address associated with your account. In this communication, we will request that you take one of the following actions within a specified timeframe:

  • Offload Data: Reduce your storage usage by removing unnecessary files or data from your WorkOrderly account.
  • Upgrade Your Plan: Upgrade to the next available subscription plan that offers a larger data storage allocation. The current rates for our various plans are listed on our pricing page at https://workorderly.net/pricing.

If you do not take action to either offload data or upgrade your plan within the timeframe specified in our communication, we reserve the right to take measures to ensure the stability and performance of the Service for all users. This may include, but is not limited to, temporarily limiting your ability to upload new data until your storage usage is within the limits of your current plan or you have upgraded.

WorkOrderly reserves the right to modify the data storage limits and plan rates at any time. We will provide reasonable notice of any significant changes. Continued use of the Service after such changes constitutes your acceptance of the revised terms.

While we will attempt to notify you of overages, failure to receive such a notification does not absolve you of the responsibility to manage your storage within your plan’s limits.

As WorkOrderly evolves and expands to better serve you, the features, screens, text, claims, pricing, and all information presented on this website are subject to change without notice. Our commitment to continuous improvement means that while we strive for accuracy, website details may sometimes become temporarily outdated as we release new advancements.
